General conditions of sale.

The present general conditions of sale automatically apply to any
order of products carried out at Maxime Communication. Maxime
Communication 19, which occurred of the Titmouses. B-1428 Inhabitant

Safety of the order for the Customer. The Customer confirms his order
while answering our email "OK". This answer is its purchase order. The
click on the button "to order" after having notched the box "I
read and I accept the general conditions of sale" constitutes a
reservation and not an order. Except in the cases limitativement
envisaged by the present general conditions of sale, the purchase
order of the purchaser is worth final order and cannot be retracted.
The present conditions of sale are accepted twice by the Customer.
Once at the time of the reservation on the site, another time while
answering our email "OK".

Formation of the contract. The site allows the Customer, before the
contract signature, to know the essential characteristics of the
product which it wishes to order. The products offered by Maxime
Communication are described with greatest exactitude. The photographs
and graphics are only indicative and engage Maxime Communication by no
means. From the moment when the purchaser validated his order, it is
regarded as having accepted, with full knowledge of the facts and
without reserve, the products, the prices and the quantities proposed
with the sale and ordered. The sale contract thus formed is made up,
by order descending of legal authenticity, of the following documents:
1. present general conditions of sale; 2. the electronic purchase
order validated by the Customer; 3. estimates transmitted by Maxime
Communication, contresigned by the Customer and returned with Maxime
Communication by fax or mail, if there exists; 

Price. The selling prices tax included/understood products are
indicated in Euros, port conveyed free according to the
standard mode. Forwarding costs relative to particular modes of
routing (deliveries spread out, multipoint, delivery in the Express
train, etc.) are invoicees in supplement of the price of the products. 

Payment. The products are payable either with the order by credit
transfer, or with the reception in liquid with the conveyor, according
to choice's of the Customer. Maxime Communication reserves the right
to suspend any order or delivery, whatever their nature and their
level of execution, in the event of nonpayment at the limit of any sum
which had by the purchaser or in the event of fall of incur which were
granted to him.

Delivery. The goods are delivered to the address indicated during the
process of order. For any sending in standard mode or the express
train, the choice of the conveyor is on the initiative exclusive of
Maxime Communication. The sale contract will be called into question
in the event of disablement total or partial of Maxime Communication
to ensure the delivery under the conditions envisaged, because of the
supervening of a case of absolute necessity, of an insufficiency of
stock not envisaged, of a delay in the delivery of its raw materials
or the defective delivery of the one of its suppliers. 

On this assumption, the purchaser can require of Maxime Communication
neither the delivery of the order at the date envisaged, nor allowance
of some nature that it either.

Tolerance of quantity. Because of the inherent tolerances to the
manufactoring processes used by Maxime Communication and his
subcontractors, the delivered quantity can vary from ±5% compared to
the quantity ordered by the Customer. This last begins to accept the
delivery, entirely, if the delivered quantity remains within the limit
of ±5%. In all the cases, Maxime Communication will invoice with the
Customer the quantity actually presented at the delivery.

Complaints. With the reception of the products, the purchaser must
immediately check their state and their conformity compared to his
order. If the delivered products are not in conformity in kind or in
quality, the purchaser must, hardly of forfeiture, to formulate his
complaints in the 8 days after delivery, the form of the conveyor
being taken. In the event of nonconformity of the delivered products,
Maxime Communication commits himself with all undertaking to correct
this nonconformity or to refund the purchaser. 

Returns. In the event of nonconformity of the delivered products and
following prior agreement of Maxime Communication, the products will
have imperatively to be turned over in a perfect state, in their
packing of origin, duly sealed. To in no case the products cannot be
turned over without prior agreement of Maxime Communication. The
purchaser is free to choose, either for the exchange of the turned
over products, or for their refunding. The time of refunding per
Maxime Communication could not exceed thirty days as from the
delivered return of the products to the address communicated by our
service customers at the time of the request for return.

Cancellation of order. Any cancellation of order must be subjected
beforehand to the authorization of Maxime Communication and must
obligatorily be formulated in writing. It will not be accepted of
cancellation for any order already entered of production process
whatever the confirmed delivery date. All the expenses already engaged
at the time of cancellation will be invoicees.

Protection of the rights and marks. Since you submit a design (logo,
drawing...) to Maxime Communication, you certify on the honor that you
are the single one and legal owner, or holder of a licence, of all the
rights - including the royalties - for each right, marks, mark for a
service, marks deposited, logo, declaration, portrait, graph, drawing,
photography, image or illustration of any person or any intellectual
property forming part or included in the design. You also certify that
no part of the design: a) does not violate or does not encroach on the
common right or the rights sculptors of any person or entity,
including/understanding but not limiting themselves to the relative
rights, with the royalties, marks, contract law, moral or right rights
of the public acts, b) is not the object of an unspecified opinion of
such an infringement that you received, c) or is not the object of an
unspecified restriction or right of any kind and any nature, likely to
prevent Maxime Communication from legally reproducing the images or
the texts suggested. You agree to defend, with your expenses, very
felt sorry for, lawsuit, or continuation engaged against Maxime
Communication who would be in relation or founded on a complaint
according to which whole or part of the design encroaches or is the
subject of an erroneous use of some right, marks or other right of
third, provided that Maxime Communication warns you in writing the
aforementioned complaint, cooperates and assists you in your defense.
You will have to pay all the damage and costs incurred by Maxime
Communication following the lawsuit or of the procedure. You agree to
compensate and clear Maxime Communication of any loss or damage -
including/understanding but not limiting themselves at the expenses of
lawyers - associated such a complaint, lawsuit or procedure. All the
products being reproduced on the site and on which commercial logos or
trade marks appear are given only by way of example.

Graphic tolerances Maxime Communication does not check the errors of
grammar, orthography or other present in the orders and received
documents. The products are printed as presented in the illustration
accompanying email "OK". Because of the inherent tolerances to the
manufactoring processes used by Maxime Communication, the framing of
the product can vary ± 1.5 mm compared to the illustration
accompanying email "OK". The fidelity of the colors guaranteed by
Maxime Communication is in agreement with the tolerances standards of
graphic industry. Consequently, Maxime Communication cannot guarantee
the perfect exactitude of the colors and this especially for the
Pantone colors, the colors of logos, etc. The colors of the
illustration accompanying email "OK" do not correspond exactly to the
colors which will be printed. Indeed, the colors depend on the support
(screen or paper). The colors can vary from one screen to another
because each screen is gauged differently.
 
The present general conditions of sale are controls by the Belgian
right. For all the disputes relative to the present contract between
Maxime Communication and the purchaser, the Commercial court of
Brussels will be the only qualified one.
